Welcome to EvoFit! These Terms of Service ("Terms") constitute a legally binding agreement between you and BCI Innovation Labs ("we", "us", or "our") regarding your use of the EvoFit platform (evofit.io), including EvoFit Trainer and EvoFit Meals (collectively, the "Services").

By creating an account, accessing, or using our Services, you agree to be bound by these Terms.If you do not agree to these Terms, please do not use our Services.

These Terms apply to all users, including personal trainers, fitness professionals, and their clients who access our platform.

EvoFit is a comprehensive SaaS platform designed for fitness professionals, providing:

EvoFit Trainer

• Workout program creation and management tools
• Exercise library and demonstration content
• Client progress tracking and analytics
• Customizable training templates and progressions

EvoFit Meals

• Nutrition planning and meal preparation tools
• Recipe database and nutritional analysis
• Client dietary tracking and reporting
• Customizable meal plans and shopping lists

AI Add-On Features

• AI-powered workout program generation
• Intelligent meal planning recommendations
• Automated progress analysis and insights
• Smart content suggestions and optimizations

Our Services are provided on a subscription basis with different tiers and optional add-ons as described in our pricing plans.

To access our Services, you must create an account and provide accurate, current information.

Your Responsibilities

• Accurate Information: Provide truthful and up-to-date registration details
• Account Security: Maintain the confidentiality of your login credentials
• Authorized Use: Ensure only you and authorized team members access your account
• Professional Standards: Use our platform in accordance with fitness industry standards
• Compliance: Follow all applicable laws and regulations in your jurisdiction

Account Eligibility

You must be at least 18 years old and legally capable of entering into contracts. Business accounts must be registered by authorized representatives.

You are responsible for all activities that occur under your account. If you suspect unauthorized access, notify us immediately at info@bcinnovationlabs.com.

Pricing Structure

EvoFit offers the following pricing tiers:

• Starter Tier: One-time purchase for basic features
• Professional Tier: One-time purchase for advanced tools
• Elite Tier: One-time purchase for full platform access
• AI Add-On: Monthly subscription at $29.99/month for AI-powered features

Payment Terms

• All payments are processed securely through Stripe
• One-time tier purchases grant lifetime access to included features
• AI Add-On subscriptions are billed monthly in advance
• Prices are subject to change with 30 days' notice
• All fees are non-transferable and exclusive of applicable taxes

Failed Payments

For subscription services, if payment fails, we will attempt to collect payment for up to 30 days. AI Add-On access may be suspended during this period. If payment remains unsuccessful, your subscription will be cancelled.

One-Time Purchases

We offer a 30-day money-back guarantee on all one-time tier purchases (Starter, Professional, Elite). To request a refund:

• Submit your request within 30 days of purchase
• Contact us at info@bcinnovationlabs.com with your order details
• Refunds will be processed within 5-10 business days

AI Add-On Subscription

• Cancellation: Cancel anytime through your account settings
• No Partial Refunds: No refunds for partial months of service
• Access Continuation: Service continues until the end of your billing cycle

Refund Exceptions

Refunds may be denied for accounts that:

• Violate our Terms of Service or Acceptable Use Policy
• Show evidence of abuse or fraudulent activity
• Have excessive usage that violates fair use guidelines

You agree to use our Services responsibly and in accordance with these guidelines:

• Share generated content with your clients as part of your services
• Access our platform through standard web browsers and mobile apps

Prohibited Activities

• Data Scraping: Automated extraction of platform content or data
• Reselling: Redistributing our Services to third parties
• Reverse Engineering: Attempting to access source code or algorithms
• Abuse of AI Features: Excessive or inappropriate use of AI generation tools
• Illegal Activities: Using our platform for any unlawful purposes
• Account Sharing: Sharing login credentials with unauthorized users
• Spam or Harassment: Sending unsolicited communications through our platform
• Malicious Code: Introducing viruses, malware, or harmful scripts

Violation of these terms may result in temporary suspension or permanent termination of your account without refund.

Our Intellectual Property

EvoFit, including all software, designs, logos, content, and underlying technology, is owned by BCI Innovation Labs and protected by copyright, trademark, and other intellectual property laws.

Your Content and Data

You retain ownership of all content you create or upload to our platform, including:

• Custom Workout Programs: Training routines you design
• Meal Plans: Nutrition programs you create
• Client Data: Information about your clients and their progress
• Business Content: Your branding, descriptions, and custom content

License to Use Our Platform

By using our Services, you grant us a limited, non-exclusive license to process, store, and display your content solely for the purpose of providing our Services and improving our platform.

Data Ownership

You own your data. All workout programs, meal plans, client information, and business data you input into our platform remains your property.

Data Portability

• Export your data at any time through our platform tools
• Receive a complete data export upon account termination
• Transfer client data to other platforms as needed

Content Standards

All content you upload must be:

• Accurate and truthful to the best of your knowledge
• Compliant with fitness industry standards and regulations
• Free from harmful, offensive, or inappropriate material
• Properly licensed if using third-party content

IMPORTANT: EvoFit's AI features generate workout and meal suggestions as tools to assist fitness professionals. These are not medical advice or professional recommendations.

Professional Responsibility

• Review All AI Suggestions: Verify appropriateness before sharing with clients
• Apply Professional Judgment: Modify recommendations based on client needs
• Consider Medical Conditions: Account for client health issues and limitations
• Maintain Certification Standards: Follow your professional training and certification requirements

Medical Disclaimer

AI-generated content is not a substitute for professional medical advice, diagnosis, or treatment.Always advise clients to consult healthcare providers before starting new fitness or nutrition programs, especially if they have pre-existing health conditions.

You are solely responsible for the appropriateness and safety of all programs and recommendations you provide to your clients, regardless of their source.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BCI INNOVATION LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES.

Service Availability

• We strive for 99.9% uptime but cannot guarantee uninterrupted service
• Planned maintenance windows will be announced in advance when possible
• We are not liable for damages caused by service interruptions

Total Liability Cap

Our total liability to you for any claims arising from these Terms or your use of our Services shall not exceed the amount you have paid us in the 12 months preceding the claim, or $100, whichever is greater.

You agree to indemnify, defend, and hold harmless BCI Innovation Labs, its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorney fees) arising from:

• Your use of our Services in violation of these Terms
• Your content or data that infringes third-party rights
• Your provision of fitness or nutrition services to clients
• Any negligent or wrongful conduct in your professional practice
• Claims related to client injuries or health issues

This indemnification provision is essential because you are the licensed professional providing services to your clients using our platform as a tool.

Termination by You

• Account Deletion: Close your account anytime through account settings
• Subscription Cancellation: Cancel AI Add-On subscriptions anytime
• Data Export: Download your data before account closure

Termination by Us

We may suspend or terminate your account if you:

• Violate these Terms of Service or our Acceptable Use Policy
• Fail to pay required fees for more than 30 days
• Engage in fraudulent or illegal activities
• Pose a security risk to our platform or other users

Effect of Termination

• Access to our Services will cease immediately
• Your data will be available for download for 30 days
• Recurring subscriptions will be cancelled
• These Terms will remain in effect for completed transactions

These Terms are governed by and construed in accordance with the laws of theProvince of Ontario, Canada, without regard to conflict of law principles.

Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in London, Ontario, Canada, and you hereby consent to personal jurisdiction and venue in such courts.

Informal Resolution

Before initiating any formal legal proceedings, we encourage you to contact us at info@bcinnovationlabs.com to resolve disputes informally. We commit to working with you in good faith to reach a mutually satisfactory resolution.

Formal Procedures

If informal resolution is unsuccessful, disputes may be resolved through:

• Mediation through a mutually agreed mediator
• Arbitration under Ontario commercial arbitration rules
• Court proceedings in London, Ontario, Canada

We may update these Terms periodically to reflect changes in our services, legal requirements, or business practices. When we make material changes:

• We will post the updated Terms on our platform
• We will send email notification to registered users
• We will provide at least 30 days' notice for significant changes
• Changes become effective upon posting unless otherwise specified

Your continued use of our Services after changes become effective constitutes acceptance of the updated Terms. If you do not agree with the changes, you may terminate your account.
